By completing a purchase, the Buyer agrees to adhere to these terms of sale.
Payment
By providing payment information, the Buyer affirms that they are an authorized user of the chosen payment method and that all provided information is accurate and truthful.
The Buyer hereby authorizes ODrive Robotics to charge the specified amount to the provided payment method for the purchase. Additionally, the Buyer authorizes ODrive Robotics to credit any funds due back to the Buyer to the same payment method.
Delivery
ODrive Robotics provides estimated delivery dates in good faith, and these estimates are intended to be approximate only. ODrive Robotics does not guarantee delivery by any specific date and shall not be liable for any delays in the delivery of orders. The method of shipment and carrier shall be selected by ODrive Robotics.
Taxes and Duties
Customers are solely responsible for all customs duties, tariffs, and any additional charges that may be incurred. These charges vary by country and are not calculated or collected by ODrive Robotics.
Warranty
ODrive Robotics warrants its products to be free from defects in materials and workmanship for a period of one year from the date of purchase. This warranty does not cover damages caused by improper use, mishandling, or alterations. In the event that a defect is identified within this warranty period, ODrive Robotics reserves the right to either repair, replace, or refund the purchase price of the affected product at our discretion.
Returns
ODrive Robotics offers a 30-day return policy for products returned in their original, new condition. If a product is functioning but not in new condition, it can be returned 60 days from the date of purchase and a 20% restocking fee will be applied.
Safety
The Buyer is solely responsible for the safe handling, use, and operation of any products purchased from ODrive Robotics. The Buyer agrees to use all products in compliance with applicable laws, regulations, and recognized safety standards.
By purchasing, the Buyer acknowledges that ODrive Robotics shall not be held liable for any injury, damage, or loss resulting from the installation, use, or misuse of its products. The Buyer assumes full responsibility for any risks associated with the operation of these products, particularly in high-power, high-speed, or mechanically actuated systems.
It is the Buyer’s responsibility to ensure that adequate safety precautions, engineering controls, and protective measures are in place when using ODrive Robotics products in any application.
Liability
ODrive Robotics shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill, or other intangible losses, regardless of the cause of such damages and whether or not ODrive Robotics has been advised of the possibility of such damages. The aggregate liability of ODrive Robotics to the customer, arising out of or related to the supply and use of its products and services, shall in no event exceed the total amount actually paid by the customer for the specific products and/or services from which the claim arises.
These terms and conditions do not exclude or attempt to exclude any liabilities that cannot be excluded by law.
Firmware License
If any product sold by ODrive Robotics includes embedded software (“Firmware”), the following license terms apply:
ODrive Robotics grants the Buyer a non-exclusive, non-transferable, perpetual license to install, access, run, or interact with (“Use”) such Firmware and associated documentation solely in conjunction with the corresponding ODrive Robotics hardware. The Buyer acknowledges and agrees that:
ODrive Robotics is not obligated to provide any support, maintenance, or additional services for the Firmware.
Over time the Firmware may experience degraded functionality and may cease to function entirely.
The Buyer may make a reasonable number of backup copies of the Firmware for archival or disaster recovery purposes subject to the restrictions imposed by copyright law. Such copies are subject to the same restrictions as the original. The Buyer agrees to reproduce product identification, copyright, and other proprietary notices of ODrive Robotics and licensors on all copies.
The Buyer may not:
Use the Firmware to circumvent any technological measures included therein or provided by ODrive Robotics from time to time to control access to or limit use of the Firmware.
Sell, rent, lease, or lend the Firmware to third parties.
Import or export the Firmware in violation of any applicable laws or regulations.
Modify, create derivative works from, or otherwise copy the Firmware beyond what is permitted by copyright law.
All intellectual property rights in the Firmware remain the sole property of ODrive Robotics and its licensors.
Intellectual property
Purchasing products from ODrive Robotics does not grant the Buyer any transfer, license, or rights to ODrive Robotics’ intellectual property. The Buyer recognizes that all intellectual property rights associated with the products, including but not limited to patents, trademarks, and copyrights, remain solely with ODrive Robotics.
Additionally, the Buyer agrees not to engage in any activity that infringes on these intellectual property rights. This includes, but is not limited to, unauthorized copying, reproduction, modification, reverse engineering, or distribution of the products, their designs, or any related software and documentation. The Buyer acknowledges that any such actions are prohibited and may lead to legal consequences.
